The problem

A data room proves what a file says today. It cannot prove what happened.

When diligence gets adversarial — a down round, an acquisition dispute, a lender review, an audit, a claim, a regulatory question — the questions stop being "where is the file" and become "who said this, when, under what authority, and based on what." A folder cannot answer that. A receipt chain can.

Canonical event

The thing that happened, expressed in a stable, machine-readable shape.

Actor and authority

Who acted, and under whose approval, mandate, or protocol.

Evidence reference

Content hash of the document, transcript, model output, or record.

Timestamp

When it was sealed, ordered against the room's prior receipts.

Signature

Cryptographic seal that makes later edits detectable.

Proof bundle

A portable packet a third party can verify offline, without ReceiptRoom.

Who buys it

Founders, accelerators, angels, startup law firms, and fractional CFOs. Secondary readers are the people the founder is trying to convince: investors, enterprise buyers, lenders, insurers, and counsel.
